II. COMPENSATION FOR SERVICES

As part of this agreement the generator agrees that it will not mix water, other waste, or hazardous materials with the used oils, used grease, used oil filters, and used antifreeze ("other materials").

Mesa Oil shall provide the services to the generator at the following rates:
1.) Used oil will be picked up at $     per gallon, provided that the used oil is not mixed with water. If the used oil contains greater than 5% water the cost of transporting and processing this material is increased and a water disposal charge of $     per gallon will be charged. There will also be a minimum charge of $     for oily water removal. There will not be a freight charge on oily water or oil pickups.
2.) Used grease will be picked up at a rate of $     per drum. The freight cost will be $ per mile round trip from Mesa's facility.
3.) Used oil filters will be picked up at a rate of $     per drum. The freight cost will be $ per mile round trip from Mesa's facility.
4.) Used antifreeze will be picked up at a rate of $     per gallon. The freight cost will be $ per mile round trip from Mesa's facility. If the used antifreeze tests out to above minus ten degrees below zero, it is understood that the recyclable value of the mixture is depleted and a oily water charge of $     per gallon will apply.
5.) There will be a $     refundable deposit per empty drum left with the generator, for storage of used antifreeze, and used oil filters. Grease drums are to be provided by the generator and are not returned.
6.) The generator will be billed as the services are provided. Terms are net 30 days.

III. PICKUP AND TRANSPORTATION

The Generators shall be responsible for the operation, care and maintenance of all tanks or containers in which it stores used products for pickup by Mesa Oil. Mesa Oil shall provide containment for the used antifreeze, and the used oil filters. Mesa Oil shall, at its own cost and expense, provide suitable vehicles and equipment to transport the used products to Mesa Oil's facility. Mesa Oil shall comply with all applicable statutes, rules, regulations, and ordinances of the United States Department of Transportation, as well as all other applicable federal, state local laws, and regulations in moving, handling, and transportation of the products.

Mesa Oil shall properly complete all appropriate documentation for the transporting of used products including, but not limited to, all labeling, placarding, and manifesting. The date, transporter, description, and quantities of used oil picked up shall be fully and accurately described by Mesa Oil on a manifest, and its delivery to the Mesa Oil facility shall be confirmed in writing to the Generator. The Generator shall provide a safe working environment for any Mesa Oil employee who must enter the Generators facilities in the course of performing services under this Agreement. While on the premises Mesa Oil employees shall comply with all of the Generators safety procedures, particularly those related to the handling of petroleum products and wastes. Working area safety procedures shall be furnished to Mesa Oil by the generator.

IV. WASTE ANALYSIS

A. Mesa Oil does not normally require any analysis from the generator on any of the products to be picked up under the services being provided.
